1. Agreement to Terms

By accessing or using the website located at techrev.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Site. These Terms constitute a legally binding agreement between you and Technology Revelations, Inc.

If you are using the Site on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

2. About TechRev

Technology Revelations, Inc., doing business as TechRev and Spencer Pruitt — AI & Technology, is a veteran-founded, Florida-based AI-augmented software platform company. References to "TechRev," "we," "us," or "our" throughout these Terms refer to Technology Revelations, Inc. and its DBAs.

3. Scope & Applicability

These Terms govern your use of the TechRev marketing website at techrev.com. They do not govern the use of TechRev's SaaS platform products, client portals, or applications developed and operated for TechRev's clients. Access to and use of those services are governed by separate agreements executed between TechRev and its clients.

4. Use of the Site

You may use the Site for lawful purposes only and in accordance with these Terms. The Site is provided for informational purposes — to learn about TechRev's services, contact us, and schedule consultations.

You agree not to use the Site in any way that:

• Violates any applicable local, state, national, or international law or regulation.
• Interferes with or disrupts the operation of the Site, its servers, or networks connected to the Site.
• Attempts to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site.
• Uses any automated system, including bots, scrapers, or crawlers, to access the Site for any purpose not expressly permitted by TechRev, except as permitted by our robots.txt file for search engine indexing.
• Introduces any viruses, trojans, worms, or other harmful material.

AI Crawler Policy

TechRev maintains an AI crawler governance policy through our robots.txt file. We permit AI retrieval bots that surface our content in search results while restricting AI training bots that scrape content for model training purposes. This policy is subject to change at our discretion.

5. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, audio, video, software, design elements, and the overall look and feel of the Site — is the property of Technology Revelations, Inc. or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

The TechRev and Spencer Pruitt names, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of Technology Revelations, Inc. You may not use these marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Site content for your personal, non-commercial informational purposes. This license does not include the right to:

• Reproduce, distribute, publicly display, or create derivative works from the Site content.
• Use the Site content for any commercial purpose without our express written consent.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.

6. User Submissions

When you submit information through the Site — such as through a contact form, consultation request, or email — you grant TechRev a non-exclusive, royalty-free, perpetual right to use, store, and process that information for the purposes of responding to your inquiry, improving our services, and conducting our business operations.

You represent that any information you submit is accurate and does not violate the rights of any third party. You are responsible for the content of all information you submit through the Site.

This section does not apply to personal information, which is governed by our Privacy Policy.

7. Prohibited Conduct

In addition to the restrictions described in Section 4, you expressly agree not to:

• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Harvest, collect, or scrape any information from the Site without our consent.
• Use the Site to transmit unsolicited commercial communications (spam).
• Attempt to reverse-engineer, decompile, or disassemble any software or technology used in connection with the Site.
• Engage in any activity that could damage, disable, overburden, or impair the Site's infrastructure.
• Use the Site in any manner that could interfere with any other party's use and enjoyment of the Site.

TechRev reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these Terms, including terminating access to the Site and reporting violations to law enforcement authorities.

8. Third-Party Links & Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by TechRev. These links are provided for your convenience only. We have no control over the content, privacy practices, or availability of those third-party sites and are not responsible for them.

Your use of any third-party website or service is at your own risk and subject to the terms and conditions and privacy policies of those sites. The inclusion of a link does not imply endorsement by TechRev.

The Site may also integrate scheduling tools (such as Calendly or similar services) for booking consultations. Your use of those embedded tools is subject to the respective provider's terms of service.

9. Disclaimers

The Site and all content, materials, information, and services provided on the Site are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

To the fullest extent permitted by applicable law, TechRev disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

TechRev does not warrant that:

• The Site will be available at all times, uninterrupted, or error-free.
• The information, content, or materials on the Site are accurate, complete, reliable, current, or free of viruses or other harmful components.
• Any defects or errors in the Site will be corrected.

Information presented on the Site is for general informational purposes only and does not constitute professional advice. You should consult with appropriate professionals before making any business, legal, financial, or technology decisions based on information obtained from the Site.

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Technology Revelations, Inc., its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with:

• Your access to or use of (or inability to access or use) the Site.
• Any content, information, or materials obtained from the Site.
• Any conduct or content of any third party on or related to the Site.
• Unauthorized access, use, or alteration of your transmissions or content.

In no event shall TechRev's total liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed one hundred dollars ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

11. Indemnification

You agree to defend, indemnify, and hold harmless Technology Revelations, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the Site.
• Your violation of any provision of these Terms.
• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right.
• Any claim that your use of the Site caused damage to a third party.

This indemnification obligation will survive the termination of these Terms and your use of the Site.

12. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or relating to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Brevard County, Florida, and you consent to the personal jurisdiction and venue of such courts.

Informal Resolution First

Before filing any formal legal claim, you agree to attempt to resolve any dispute with TechRev informally by contacting us at info@techrev.com. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved within that period, either party may proceed with formal legal proceedings as permitted by these Terms.

13. Modifications to These Terms

TechRev reserves the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after any changes to these Terms constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically. If you do not agree with any changes, you should discontinue your use of the Site.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Technology Revelations, Inc. regarding your use of the Site. These Terms supersede any prior agreements, communications, or understandings, whether oral or written, between you and TechRev regarding the Site.

The failure of TechRev to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16. Eligibility

The Site is intended for users who are at least 18 years of age and able to form a legally binding contract. By using the Site, you represent and warrant that you meet these requirements. The Site is not directed to children, and we do not knowingly permit use by, or collect information through the Site from, children under 18.

17. SMS / Text Message Program

If you opt in to receive text messages from us (for example, by checking the SMS consent box on our contact form and providing your mobile number), you agree to receive recurring informational and conversational text messages, such as appointment confirmations and brief follow-ups. Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP to any message; reply HELP for help. Carriers are not liable for delayed or undelivered messages. We handle mobile information as described in our Privacy Policy and do not sell it or share it with third parties for their own marketing.

18. Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Except for the informal-resolution step in the Governing Law & Dispute Resolution section, and except for claims that qualify for small-claims court or claims seeking injunctive relief for intellectual-property infringement, any dispute arising out of or relating to these Terms or the Site that is not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Brevard County, Florida (or by videoconference or another mutually agreed method), and judgment on the award may be entered in any court of competent jurisdiction.

You and TechRev agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding, and each waives any right to a trial by jury.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to info@techrev.com with your name and a statement that you wish to opt out; opting out will not affect any other provision of these Terms.

19. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the provisions of these Terms that by their nature should survive — including Intellectual Property, User Submissions, Disclaimers, Limitation of Liability, Indemnification, Governing Law & Dispute Resolution, Arbitration & Class Action Waiver, and these miscellaneous provisions — will continue in effect.

20. Electronic Communications & E-SIGN Consent

By using the Site or providing your contact information, you consent to receive communications from us electronically, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You agree that your electronic acceptance of these Terms (including by using the Site) has the same legal effect as a handwritten signature under the federal E-SIGN Act and Florida's Uniform Electronic Transaction Act.

21. Copyright Policy (DMCA)

We respect the intellectual-property rights of others. If you believe content on the Site infringes your copyright, please send a written notice containing the information required by 17 U.S.C. § 512(c)(3) to our designated copyright agent: Technology Revelations, Inc., Attn: Copyright Agent, 1900 S Harbor City Blvd, Suite 328, Melbourne, FL 32901, or by email to info@techrev.com. We will respond to valid notices in accordance with the Digital Millennium Copyright Act, may remove or disable access to allegedly infringing material, and may terminate access for repeat infringers.

22. Export Control & Sanctions

You represent that you are not located in, and are not a national or resident of, any country or territory subject to comprehensive U.S. sanctions, and that you are not a person or entity on any U.S. government restricted-party or sanctions list (including the lists maintained by the U.S. Treasury Department Office of Foreign Assets Control). You agree not to access or use the Site in violation of any U.S. export-control or economic-sanctions laws or regulations.

23. Accessibility

We are committed to making the Site accessible to the widest possible audience and strive to conform to recognized accessibility standards such as the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you encounter difficulty accessing any part of the Site, please contact us at info@techrev.com and we will make reasonable efforts to provide the information or functionality you need through an alternative method.

24. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent, and any attempt to do so is void. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.

25. Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, epidemics, power or telecommunications failures, or disruptions of third-party services.
